Who is “securities registrar”?

A securities registrar is a person who provides services of preparing and recording accurate, complete and updated securities registers to securities issuers. Registrar services include securities transfers, pledges, securities attachments, issuance of securities certificates, register closing, dividend or interest payments to securities holders at the register closing date and other related services.

 Any person who operates the securities registrar business without a license shall be liable to imprisonment for a term of 2 to 5 years and a fine of 200,000 to 500,000 baht plus daily fine.

Who is eligible?

(Based on the SEC Notifications No. KorDor. 17/2539 and SorDor. 24/2539)

  Limited company, public limited company, commercial bank, securities trading center and legal entity established by specific laws. Applicants must have an efficient operational system to facilitate service providing. A securities issuer can function as its own securities registrar, in which case the SEC Board’s permission is not required.

 

How to apply

Applicants must file a license application (no standard form), attached with complete requirements as specified by the SEC, who shall submit them to the SEC Board for approval.

 

License cancellation

(Based on the SEC Notification No. KorDor. 17/2539)

  The securities registrar shall notify the securities issuer of the service termination in writing and transfer securities and related documents to its successor or back to the securities issuer.

  The securities registrar shall notify the SEC of the termination proceeding and return the securities registrar license to the SEC, who will propose a license withdrawal for the SEC Board’s approval.

  The securities registrar shall cease registrar services as of the termination date specified by the SEC.

Fees(Based on the SEC Notifications No. KorDor. 17/2539 and No. KorThor/Khor/Dor/Nor. 16/2553)

1. Application Fee Bt500 per submission

2. License Fee Bt10,000 upon license approval

3. Annual Fee Bt50,000

Note: In case the remaining validation period of the first year is shorter than six months, half of the annual fee is charged.
