SEC instructs JKN to rectify its financial statements for the Year 2023

Bangkok, 11 June 2025 – The Securities and Exchange Commission (SEC) has instructed JKN Global Group Public Company Limited (JKN) to rectify its financial statements for the year 2023 and corresponding figures that have material misstatement, have them audited by the company’s auditor, and subsequently submit them to the SEC. JKN is also required to make simultaneous public disclosure through the Stock Exchange of Thailand’s Electronic Listed Company Information Transmission System (SETLink) by 11 July 2025. 


Earlier, the SEC filed a criminal complaint against JKN and the company’s former directors with the Department of Special Investigation (DSI) (as published in SEC News No. 139/2025 on 5 June 2025) for colluding to make false entries and/or keep incomplete, incorrect or inaccurate accounts in JKN’s financial statements for the year 2023, and accounting documents for the first quarter of 2024 to deceive any person, and submitting or disclosing false financial statements for the year 2023 and annual registration statements (Form 56-1 One Report) containing false financial statements information. The above actions are liable to be in violation of Section 312 and Section 281/10 in conjunction with Section 300 of the Securities and Exchange Act B.E. 2535 (1992) (SEA) (as the case may be).

Therefore, the SEC notified JKN to rectify its financial statements regarding the transactions related to such cases such as creditors, debtors, sales and purchases of content, and other related transactions to ensure accurate information according to the facts. JKN is also required to submit the rectified financial statements that have been audited by the auditor to the SEC and simultaneously report the disclosure of related information under Section 56 of the SEA. Additionally, the rectified financial statements and the rectified reports must be disclosed publicly via SETLink by 11 July 2025.
