SEC notifies CHARAN to expedite submission of Q1/2025 rectified interim financial statements

Bangkok, 12 September 2025 – Regarding Charan Insurance Public Company limited (CHARAN)'s request for an extension of submission deadline for the company's rectified interim financial statements for the first quarter of 2025 that have been reviewed by the auditor, the Securities and Exchange Commission (SEC) has found no sufficient grounds to grant the extension. The SEC has therefore notified CHARAN to promptly submit the rectified interim financial statements for the first quarter of 2025 that have been reviewed by the auditor, and publicly disclose them through the Stock Exchange of Thailand's Electronic Listed Company Information Transmission System (SETLink) without delay.

Earlier, the SEC instructed CHARAN to cooperate with its auditor in reviewing the company’s interim financial statements for the first quarter of 2025, and to submit the rectified and reviewed interim financial statements to the SEC by 15 September 2025. CHARAN was also required to disclose these financial statements to the public via SETLink within the same deadline. The instruction was issued because the auditor was unable to obtain sufficient audit evidence to review the company’s first-time adoption of Thai Financial Reporting Standard 17: Insurance Contracts (TFRS 17), effective 1 January 2025.*

Subsequently, CHARAN requested an extension of the submission deadline, citing the engagement of a consulting firm to enhance its data preparation processes and information technology systems to support compliance with TFRS 17. The consulting firm is currently preparing and gradually delivering the necessary data for the auditor’s review. As a result, CHARAN requested additional time to complete the rectification and review process.

After considering the request, the SEC determined that CHARAN is in a position to complete the rectification within the prescribed deadline. Moreover, financial statements contains essential information for investors and shareholders in making informed investment decisions and monitoring the performance of listed companies. The SEC therefore found no sufficient grounds to approve CHARAN’s request for an extension of the submission deadline. Accordingly, the SEC instructed CHARAN to expedite the submission of its rectified interim financial statements and related reports, and to disclose them to the public via SETLink without delay.
