SEC public hearing on proposed amendments to the regulations on submission of financial statements by REIT managers

Bangkok, 2 May 2025 – The Securities and Exchange Commission (SEC) is seeking public comments on proposed amendments to the regulations regarding the submission of financial statements by real estate investment trust (REIT) managers. The proposed amendments aim to streamline the reporting burdens and eliminate duplicated submissions to the SEC.

The SEC is considering amendments to the regulations regarding the submission of the financial statements by REIT managers to reduce redundancy and the burdens of REIT managers who are mutual fund management companies. Additionally, the amendments would include revision to the submission period in alignment with that of mutual fund management companies.

The SEC is therefore conducting this public hearing on the proposed amendments with the key points as follows:
          (1) Requiring REIT managers to prepare and submit their financial statements to the SEC within four months from the end of the fiscal year, instead of within three months under the current regulations;
          (2) Requiring the financial statements submission to be in electronic format. For REIT managers that are mutual fund management companies, the submission shall be made through the securities company reporting system. Currently, the submission must be made through both the said system and the electronic submission system provided by the SEC. For REIT managers that are not mutual fund management companies, the submission shall be made through the SEC’s electronic submission system only.

Stakeholders and other interested parties are invited to submit their comments and suggestions via the website or email: fundraisingpolicy@sec.or.th. The public hearing ends on 1 June 2025.
