SEC instructs TSR to cooperate with auditor and submit rectified interim financial statements

Wednesday 22 July 2026 | No. 156 / 2026

Bangkok, 22 July 2026 – The Securities and Exchange Commission (SEC) has instructed TSR Living Solution Public Company Limited (TSR) to cooperate with its auditor in reviewing its interim financial statements for the first quarter of 2026 and to submit the rectified interim financial statements, which have been reviewed by the auditor, to the SEC. TSR is also required to make simultaneous public disclosure through the Stock Exchange of Thailand’s Electronic Listed Company Information Transmission System (SETLink) by 21 August 2026.

The auditor expressed a disclaimer of conclusion on TSR’s interim financial statements for the first quarter of 2026 because the auditor was unable to obtain sufficient appropriate audit evidence regarding the physical count of automatic vending machines, as TSR’s verification and physical count process had not yet been completed and had been delayed beyond the timeframe previously anticipated. Consequently, the auditor was unable to determine whether any adjustments might be necessary to the related accounts.

The SEC has therefore instructed TSR to cooperate with the auditor in reviewing the interim financial statements, submit the rectified interim financial statements that have been reviewed by the auditor to the SEC, and simultaneously report the disclosure of related information in accordance with Section 56 of the Securities and Exchange Act B.E. 2535 (1992). Additionally, the rectified interim financial statements and the related report must be publicly disclosed via SETLink by 21 August 2026.
