SEC urges GRAND bondholders to exercise their rights at the upcoming bondholders’ meeting

Bangkok, 21 July 2025 – The Securities and Exchange Commission (SEC) urges the bondholders of five GRAND bond series to study all available information, exercise their rights at the upcoming bondholders’ meeting, and reach out to the bond issuer or the bondholders’ representative to obtain comprehensive and sufficient details for making an informed voting decision. The bondholders’ meeting will be held on 24 July 2025.  

Grande Asset Hotels and Property Public Company Limited (GRAND) will electronically convene the Bondholders’ Meeting No. 1/2025 for GRAND263A GRAND264A and GRAND271A series, and the Bondholders’ Meeting No. 2/2025 for GRAND254A and GRAND259A series, on 24 July 2025 at 10.00 hours. The matters for consideration are as follows: 
          (1) Granting an exemption from a breach of terms and conditions in respect of the company’s arrangement for the bond registrar to notify the Thai Bond Market Association less than seven days prior to the first closing date of the bond registrar;   
          (2) Revising the terms and conditions regarding the method of reviewing the value of common shares used as collateral, including the valuation of common share collateral of Royal Orchid Hotels (Thailand) Public Company Limited, as well as the timeframe and reporting of the review results;
          (3) Requesting an exemption from a breach of terms and conditions for the bond issuer’ non-compliance with the requirements relating to collateral in the form of common shares of Royal Orchid Hotels (Thailand) Public Company Limited,  in respect of the review of the value of common shares used as collateral as of 30 June 2025, and requesting an exemption from reviewing the value of common shares used as collateral for the last trading day of the Stock Exchange of Thailand (SET) in July 2025;
          (4) Requesting an addition to the terms and conditions regarding the release of the pledge over common shares of Royal Orchid Hotels (Thailand) Public Company Limited and units of Grand Hospitality Real Estate Investment Trust (GAHREIT) used as collateral, to align with the bond debt repayment plan (applicable to the GRAND254A series only).

The SEC requires that the bondholders’ representative analyze the benefits and shortcomings as well as the potential impacts on the bondholders both in cases of approval and decline of approval for the above matters with respective supporting reasons and the opinions of the bondholders’ representative. The bondholders are, therefore, encouraged to thoroughly review the information and exercise their rights to protect their own interests. They should also make necessary inquiries to the bondholders’ representative to obtain comprehensive information before making a voting decision at the bondholders’ e-meeting.

          - GRAND254A series, to be due on 27 December 2025
          - GRAND263A series, to be due on 12 March 2026
          - GRAND264A series, to be due on 11 April 2026  
          - GRAND259A series, to be due on 21 May 2026
          - GRAND271A series, to be due on 23 January 2027
