SEC urges SQ bondholders to exercise their rights at the upcoming bondholders’ meeting

Bangkok, 26 August 2025 – The Securities and Exchange Commission (SEC) urges the bondholders of six SQ bond series to study all available information, exercise their rights at the upcoming bondholders’ meeting, and reach out to the bond issuer or the bondholders’ representatives to obtain comprehensive and sufficient details for making an informed voting decision. The bondholders’ meeting will be held on 29 August 2025. 

Sahakol Equipment Public Company Limited (SQ) will convene the Bondholders’ Meeting No. 1/2025 for SQ266A, SQ275A and SQ285A series, and the Bondholders’ Meeting No. 2/2025 for SQ256A, SQ25NA and SQ25NB series, on 29 August 2025 at 14.00 hours via electronic media. The matters for consideration are as follows:  

         (1) Granting an exemption from an event of default under the terms and conditions in respect of the following actions: 
             - The bond issuer’s proposal to postpone the maturity dates and revise the bond debt repayment terms (principal amount of 550 million baht), as approved by the Bondholders’ Meeting No. 1/2025 for the SQ256A series held on 6 June 2025; and  
              - The negotiation and execution of an amendment agreement to the loan agreement with a party not related to the company on 9 June 2025, to extend the repayment period for a loan of 300 million baht until 14 January 2027, which may constitute entering into any agreement with one or more creditors collectively for debt restructuring that is characterized as a deferral of debt repayment by the bond issuer, with a total debt amount exceeding 700 million baht.  

          (2) Granting an exemption and approving the cancellation of all outstanding bond debts that have not yet matured to become immediately due and payable, as stipulated in the notices issued by the bondholders' representatives requiring the issuer to remedy the event of default by 30 August 2025, including the cancellation of any actions taken by the bondholders' representatives related to such event of default.

The SEC requires that the bondholders’ representatives analyze the benefits and shortcomings as well as the potential impacts on the bondholders both in cases of approval and decline of approval for the above matters with respective supporting reasons and the opinions of the bondholders’ representatives. The bondholders are, therefore, encouraged to thoroughly review the information and exercise their rights to protect their own interests. They should also make necessary inquiries to the bondholders’ representatives to obtain comprehensive information before making a voting decision at the bondholders’ meeting.

(1) Bank of Ayudhya Public Company Limited is the bondholders’ representative for three bond series, as follows:   
          - SQ25NA series due on 4 November 2025
          - SQ25NB series due on 4 November 2025
          - SQ256A series due on 19 June 2028

(2) Asia Plus Securities Co., Ltd. is the bondholders’ representative for three bond series, as follows:    
          - SQ266A series due on 20 June 2026         
          - SQ275A series due on 22 May 2027
          - SQ285A series due on 22 May 2028
