Planning Service Public Company Limited (PPS), the issuer of PPS262A bond, will
convene Bondholders’ Meeting No. 1/2025 on 25 November 2025 at 14.00 hours at the
Meeting Room, 4th Floor, 103 Building, Soi Rama IX 60 (Soi 7 Seri 7),
Rama IV Road, Pattanakan Subdistrict, Suanluang District, Bangkok, to consider
the following matters:
1) Granting an exemption from an event
of default under the terms and conditions for the issuer’s convening of the Bondholders’
Meeting No. 1/2025 (including any adjourned meeting, if applicable) to seek an
extension of the bond maturity date—which constitutes a postponement or
modification of the debt repayment schedule—and/or entering into negotiations
with financial institutions or other creditors between 25 November 2025 and 13
February 2028 for the purpose of debt restructuring, which is considered a form
of debt repayment indulgence, including any postponement or modification of the
debt repayment schedule, or any other adjustments related to any type of its
debt;
2) Extending
the maturity period for the bond redemption by two years, to be due on 13 February
2028;
In the event that Agenda
Item 1 is not approved:
The Company may proceed as follows:
(1) Proposing that the meeting continue
to consider and vote on Agenda Item 2;
(2) Not to propose Agenda Item 2 for consideration and voting, as it
is related to Agenda Item 1.
3) Allowing the
issuer to redeem the bond, fully or partially, whether in a single occasion or
multiple occasions, on any day prior to the extended maturity date during the
extended period.
In
the event that Agenda Item 1 and/or Agenda Item 2 are not approved: The Company may proceed as
follows:
(1)
Proposing that the meeting continue to consider and vote on Agenda Item 3;
(2)
Not to propose Agenda Item 3 for consideration and voting, as it is related to
Agenda Item 1 and/or Agenda Item 2.
As the Bondholders’
Meeting Notice states that if a preceding agenda item is not approved, PPS will
determine whether to proceed with the subsequent agenda items based on their
interrelation. However, the notice does not specify how PPS assesses such interrelation.
The SEC has therefore coordinated with the bondholders’ representative to
notify bondholders, prior to the meeting, of the criteria and process for determining
the consideration of subsequent agenda items in accordance with this principle.
The SEC requires that the bondholders’ representative analyze the benefits and
shortcomings as well as the potential impacts on the bondholders both in cases
of approval and decline of approval for the above matters with respective
supporting reasons and the opinions of the bondholders’ representative. The
bondholders are, therefore, encouraged to thoroughly review the information and
exercise their rights to protect their own interests. They should also make
necessary inquiries to the bondholders’ representative to obtain comprehensive
information before making a voting decision at the bondholders’ e-meeting.
