SEC suspends approval for a capital market auditor due to non-compliance with auditing standards

Tuesday 9 December 2025 | No. 314 / 2025

Bangkok, 9 December 2025The Securities and Exchange Commission (SEC) has suspended approval of Ms. Luxsamee Deetrakulwattanapol (Ms. Luxsamee), a capital market auditor affiliated with Grant Thornton Co., Ltd. Any future application for approval will be considered after a period of one year, starting from 10 December 2025. This suspension was issued for non-compliance with auditing standards in her role as the auditor for Green Tech Ventures Public Company Limited and its subsidiaries for the year ended 31 December 2024, and  Bitkub Online Co., Ltd. for the year ended 31 December 2022.

Earlier, the SEC reviewed Ms. Luxsamee’s working papers in her capacity as the auditor for Green Tech Ventures Public Company Limited and its subsidiaries* for the year ended 31 December 2024, and found significant deficiencies in her audit work regarding: (1) the assessment of goodwill impairment, (2) the audit of share of loss from investments in associates and joint ventures which had not yet been audited by their auditors, (3) the assessment of risks of material misstatement due to fraud, (4) the audit of lease liabilities due within one year and interest expenses from lease liabilities, and (5) the audit of long-term loans to other entities that are due within one year and interest income from such long-term loans.

In addition, the SEC found significant deficiencies in Ms. Luxsamee’s audit work for the financial statements of Bitkub Online Co., Ltd.* for the year ended 31 December 2022, specifically regarding the audit of share-based payment transactions, which had a material impact on the financial statements for that period.

Therefore, the SEC has decided to suspend Ms. Luxsamee’s approval to serve as a capital market auditor for a period of one year. However, since her current approval is valid until 5 February 2026, the SEC has ordered the suspension of her approval until 5 February 2026. The SEC will consider any future application for approval** only after one year has passed, starting from 10 December 2025.

Remarks:

* Regarding the financial statements of Green Tech Ventures Public Company Limited and its subsidiaries, the SEC is currently considering the potential impact on the financial statements and will take appropriate action, as necessary. As for the financial statements of Bitkub Online Co., Ltd., the effects of the mentioned transactions have already been retrospectively adjusted in the financial statements for the year ended 31 December 2024.

** Any application for approval as a capital market auditor submitted during the suspension period will not be considered by the SEC.
