By virtue of Section 90 of the
Securities and Exchange Act B.E. 2535 in conjunction with Clause 1 of the
Ministerial Regulation No.4 (B.E. 2535) promulgated under the Securities and
Exchange Act B.E. 2535, Finance Minister by the SEC's recommendation prescribes
type of legal entity eligible to apply for approval on establishment of limited
company or public limited company to undertake securities business in the
category of mutual fund management and period for filing application as
follows: |

Clause 1 Establishment
of limited company or public limited company to undertake securities business in
the category of mutual fund management shall be carried out by syndication of
financial institution and other legal entities as specified in the Ministerial
Regulation No.4 (B.E. 2535) promulgated under the Securities and Exchange Act
B.E. 2535 to allow qualified financial institution or such other legal entities
to undertake such securities business by means of being shareholders of newly
established company.

Clause
2 The following financial institutions shall be eligible to
file an application for approval on establishment of limited company or public
limited company to undertake securities business in the category of mutual fund
management, unless it is notified otherwise:
2.1 commercial bank established and registered in the
Kingdom of Thailand;
2.2 finance company or finance and securities company
established and registered in the Kingdom of Thailand;
2.3 securities company established and registered in
the Kingdom of Thailand;
2.4 life insurance company established and registered
in the Kingdom of Thailand.
