The Notification of the Ministry of Finance
Re : Prescription of Venture Capital Management Business as
Securities Business​

​By virtue of Section 4 of the Securities and Exchange Act B.E. 2535, Finance Minister, by the SEC's recommendation, hereby issues regulation as follows:

Clause 1 Undertaking of venture capital management shall be specified as securities business under (7) of the definition of "securities business" in Section 4 of the Securities and Exchange Act B.E. 2535

Clause 2 Undertaking of venture capital management under Clause 1 means mobilizing of funds from institutional investors specifically for the purpose of setting up a venture capital juristic person, applying for registration of such juristic person with the SEC Office and managing fund of the juristic person so established, in which case the juristic person's personnel may be appointed to participate in management of enterprise in which the juristic person invests.

Definitions of "institutional investor", "venture capital juristic person" and "enterprise" shall be prescribed by the SEC.

Clause 3 This Notification shall come into force on 17th September 2544.
