SEC files criminal complaint against Mr. Yim Leak for late reporting of the disposition of securities under Form 246-2

Bangkok, 18 August 2026 – The Securities and Exchange Commission (SEC) has filed a criminal complaint with the Economic Crime Suppression Division (ECD) of the Royal Thai Police against Mr. Yim Leak for late reporting of the disposition of ordinary shares of M Vision Public Company Limited (MVP) under the Report on the Acquisition or Disposition of Securities (Form 246-2) upon crossing every five-percent threshold of the total voting rights of the business, beyond the period prescribed by the relevant notification of the Capital Market Supervisory Board (CMSB). Such conduct constitutes a violation of Section 246 and is subject to penalties under Section 298 of the Securities and Exchange Act B.E. 2535 (1992) (SEA).

On 25 April 2022, Mr. Yim Leak disposed of MVP shares, causing his shareholding in MVP to decrease and cross the five-percent threshold of the total voting rights of the business. Mr. Yim Leak was therefore required to report such disposition of shares to the SEC under Form 246-2 within three business days from the date of the acquisition or disposition of securities, or by 28 April 2022. However, it was found that Mr. Yim Leak filed the Form 246-2 report with the SEC on 15 October 2025, which was beyond the period prescribed by the relevant notification. Mr. Yim Leak's filing of the report was a result of the SEC's monitoring and investigation, which revealed that he was the beneficial owner of the securities.

Mr. Yim Leak's above-mentioned offense is subject to penalties under Section 298 of the SEA. The case could be settled through a settlement proceeding before the Criminal Fining Committee (CFC) appointed by the Minister of Finance under Section 317 of the SEA. In this regard, the SEC notified Mr. Yim Leak in writing of his act that may constitute a violation of the law and informed him that the case could be settled through a settlement proceeding before the CFC. However, Mr. Yim Leak did not express his consent to the settlement proceeding. As a result, the case was not settled under Section 317 of the SEA. The SEC has therefore filed a criminal complaint against Mr. Yim Leak with the ECD for further legal proceedings.

Mr. Anek Yooyuen, SEC Deputy Secretary-General and Spokesperson, said: "Although Mr. Yim Leak filed the report on 15 October 2025 as a result of the SEC's examination, the SEC still had further review and follow-up processes to undertake. The criminal complaint was therefore filed subsequently."

Following the criminal complaint filed by the SEC, the criminal enforcement process will proceed with investigation by the inquiry official, prosecution by the public prosecutor, and adjudication by the court of justice, respectively. In this regard, the SEC will monitor the progress of the legal proceedings and fully cooperate with relevant agencies to support legal enforcement under the SEA after the criminal complaint has been filed.
