The SEC
is currently revising the regulations governing applications for DR offerings
to allow approved DR issuers to issue and offer DRs for a period of one year,
without limitation on the number of offerings or the offering value, provided
that they continue to meet the qualifications prescribed under the relevant
regulations (Shelf Approval). For each issuance and offering, the issuer is
required to file an application on a project-by-project basis (Shelf Filing).
This is intended to reduce costs and documentation burdens for the private
sector and facilitate DR offerings to accommodate growing investor demand for
DRs.*
In this
regard, the SEC proposes to revise the rules on the collection of application
fees for DR offerings to align with the aforesaid amendments to the regulations
governing applications for DR offerings. The key points are as follows:
(1)
For the initial application and the application for Shelf renewal in subsequent
years, applicants shall pay an application fee of 50,000 baht for consideration
of the applicant’s qualifications and an application fee of
15,000 baht per foreign underlying security for consideration of DR
qualifications.
(2)
For subsequent applications within each annual Shelf period, approved DR
issuers shall pay an application fee of 15,000 baht per foreign underlying
security for consideration of DR qualifications.
Currently,
the applicable fees are collected on a per-application basis at the same rates
as those specified above.
