SEC instructs DOD to cooperate with auditor and submit rectified interim financial statements for Q1/2026 and Q2/2026

Bangkok, 14 September 2026 – The Securities and Exchange Commission (SEC) has instructed DOD Biotech Public Company Limited (DOD) to cooperate with its auditor in reviewing its interim financial statements for the first quarter of 2026 (Revised) and the second quarter of 2026, and to submit the rectified interim financial statements, which have been reviewed by the auditor, to the SEC. DOD is also required to make simultaneous public disclosure through the Stock Exchange of Thailand’s Electronic Listed Company Information Transmission System (SETLink) by 14 October 2026.

Previously, the SEC instructed DOD to cooperate with the auditor in reviewing the interim financial statements for the first quarter of 2026, submit the rectified interim financial statements that have been reviewed by the auditor to the SEC, and simultaneously report the disclosure of related information in accordance with Section 56 of the Securities and Exchange Act B.E. 2535 (1992) (SEA). Additionally, the rectified interim financial statements and the related report must be publicly disclosed via SETLink. The instruction was issued because the auditor expressed a qualified conclusion on DOD’s interim financial statements for the first quarter of 2026 after being unable to obtain sufficient audit evidence to review transactions related to the deposits and advance payments for assets or services, including evidence supporting the business rationale for entering into such transactions.

 

Subsequently, DOD has submitted the interim financial statements for the first quarter of 2026 (Revised) and the second quarter of 2026. However, DOD’s auditor expressed qualified conclusions on those financial statements because the auditor still has not obtained sufficient appropriate evidence supporting the business rationale for entering into the transaction involving the payment of a deposit for the purchase of mortgaged land. In addition, the auditor has not obtained other sufficient appropriate evidence supporting the recoverability of the difference in the value of the machinery and the receipt of the assets relating to the deposit paid for the land purchase and the advance payments for the raw materials and machinery. Consequently, the auditor was unable to determine whether any adjustments to the related accounts were necessary.

 

The SEC therefore instructs DOD to cooperate with the auditor in reviewing its interim financial statements for the first quarter of 2026 (Revised) and the second quarter of 2026, and to submit the rectified interim financial statements that have been reviewed by the auditor to the SEC, and simultaneously report the disclosure of related information under Section 56 of the SEA. Additionally, the rectified interim financial statements and the related report must be publicly disclosed via SETLink by 14 October 2026.
