SEC instructs MVP to cooperate with auditor, prepare financial statements in compliance with TFRS, and submit rectified 2025 financial statements

Wednesday 4 November 2026 | No. 240 / 2026

Bangkok, 4 November 2026 – The Securities and Exchange Commission (SEC) has instructed M Vision Public Company Limited (MVP) to cooperate with its auditor in auditing its 2025 financial statements, prepare its financial statements in compliance with Thai Financial Reporting Standards (TFRS), and submit the rectified financial statements audited by the auditor to the SEC. MVP is also required to simultaneously and publicly disclose such financial statements through the Stock Exchange of Thailand’s Electronic Listed Company Information Transmission System (SETLink) by 4 December 2026.

MVP submitted its 2025 financial statements on 2 September 2026 and subsequently submitted the revised 2025 financial statements on 30 October 2026. The auditor expressed a disclaimer of opinion on the financial statements because the auditor was unable to obtain sufficient appropriate audit evidence to determine whether trade receivables, input VAT, equipment, intangible assets, deposits for asset acquisition, trade payables, and other current payables existed and were accurately stated. In addition, the auditor was unable to obtain sufficient appropriate audit evidence to determine whether MVP’s revenues and expenses had actually occurred, and whether value-added tax and corporate income tax had been correctly calculated and recorded. Furthermore, the auditor had not yet received the results of the Special Audit and was therefore unable to conclude whether all such items required adjustment and, if so, to what extent. The auditor also found that MVP’s preparation and disclosure of information concerning the presentation of its consolidated financial statements did not comply with TFRS.

The SEC has therefore instructed MVP to cooperate with the auditor in auditing the aforementioned matters, prepare and disclose the relevant information in its financial statements in compliance with TFRS, and submit the rectified financial statements audited by the auditor to the SEC, together with the related disclosure report pursuant to Section 56 of the Securities and Exchange Act B.E. 2535 (1992). MVP is also required to simultaneously and publicly disclose such rectified financial statements and related disclosure report via SETLink by 4 December 2026.
