The SEC’s monitoring and inspection of Coins TH’s operations identified deficiencies in the following areas: (1) organizational structure and personnel, including unapproved shareholders, a management structure in which the number of directors did not meet the regulatory requirements, and the absence of an audit committee, resulting in ineffective checks and balances over operations; and (2) operating systems, including information technology system, client asset safekeeping system, data management and storage systems, and outsourcing of functions related to its business operations. Coins TH also failed to submit its financial statements for the 2024 and 2025 accounting periods to the SEC as required by the applicable regulations.
The SEC Board, at its Meeting No. 13/2026 held on 5 November 2026, by virtue of Section 35, paragraph one, of the Emergency Decree, resolved to order Coins TH to complete the rectification of its operations by 8 December 2026 in the following matters:
(1) Rectify its organizational structure and personnel by submitting an application for approval of the major shareholders, together with complete and accurate supporting documents; rectify its management structure by providing a duly certified shareholders’ resolution appointing directors to replace the directors who resigned; provide a board of directors’ resolution appointing an audit committee and an audit committee chair who is an independent director, together with the defined scope of duties and responsibilities; demonstrate an effective system of checks and balances over operations; and ensure that it has an appropriate and sufficient number of qualified personnel in place.
(2) Rectify its systems for managing and storing information relating to its business operations and submit complete, accurate, and up-to-date daily and monthly e-Reporting data; and rectify its information technology systems, client asset safekeeping system, and outsourcing of functions related to its business operations in compliance with the applicable regulations.
(3) Submit the company’s financial statements for the 2024 and 2025 accounting periods and publish these financial statements on the Coins TH website.
Coins TH is also required to report to the SEC on the rectification of its operations in all three areas by 8 December 2026.
