SEC extends fee deduction timeframe for the filing of registration statements and annual registration statements for companies disclosing greenhouse gas emission data for another three years

Bangkok, 18 December 2023 – The Securities and Exchange Commission (SEC) has announced another three-year extension of the fee deduction measures period, for the filing of registration statements and annual registration statements by those companies disclosing the data on greenhouse gas emission and reviewers commissioning, to foster the business undertakings with serious consideration on environmental responsibilities and promote credible information disclosure on greenhouse gas emissions.

According to the Notification of the Office of the Securities and Exchange Commission No. Sor Mor. 18/2564 Re: Measures on Fee Deduction for Filing the Registration Statement for Securities Offering and the Annual Registration Statement for Companies Disclosing Greenhouse Gas Emission Data, dated 10 March 2021, the fee deduction measures will expire at the end of 2023. The SEC therefore conducted a public hearing on the related draft notification in this matter in November 2023, with which most of the expressed views are in agreement as proposed.

To encourage securities issuing and public offering companies and listed companies to continuously engage reviewers in the preparation of carbon footprint information disclosure, the SEC has issued the notification, extending the fee deduction measures period, for another three years, for the filing of registration statements and annual registration statements by those companies disclosing the data on greenhouse gas emission and commissioning the reviewers for preparation of the carbon footprint data. The fee deduction scope will also cover the expenses for commissioning consultants for carbon footprint data preparation. In this regard, the deductible amount shall be the actual expenses for engaging reviewers and/or consultants, but in any case, shall not exceed 50,000 baht per year.
