SEC kindly requests the Bondholders of PROEN243A to exercise their rights in the Bondholders' meeting on March 4, 2024.

Bangkok, 28 February 2024 – The Office of the Securities and Exchange Commission (SEC) requests the bondholders of PROEN243A to exercise their rights at the Bondholders' meeting, to scrutinize the information, and to question the issuer or the bondholders' representative to obtain comprehensive and sufficient information for decision-making.

PROEN Corp Public Company Limited (PROEN), as the issuer of PROEN243A bonds, will organize the 1/2024 first Bondholders' meeting of 2024 on March 4, 2024, at 14:00 hrs. via electronic meeting (E-Meeting) with the agenda for consideration and approval of the following:

Agenda 1: Consider approval of the following issues:

1) Extending the maturity date of the bonds by another 2 years

2) Partial repayment of the principal

3) Changing the repayment of principal into installments

Agenda 2: Consider approval of the increase of the interest rate of the bonds from 6.50% per annum to 7.00% per annum from the original bond maturity date.

The SEC has instructed the bondholders' representatives to thoroughly detail the advantages, disadvantages, benefits, and impact of approval or non-approval of each option clearly to the bondholders, together with the reasons and opinions of the bondholders' representative. Furthermore, the SEC requests the bondholders to scrutinize the information in exercising their bondholders' rights and safeguarding their interests and to request all and any information necessary from the bondholders' representative to have complete information for further decision-making in the Bondholders' meeting.
