SEC releases handbook for effective and transparent bondholders' meetings, encouraging the exercise of bondholders' rights

Bangkok, 4 March 2024 – The Securities and Exchange Commission (SEC) has released a handbook for convening effective and transparent bondholders’ meetings while promoting the exercise of bondholders’ rights. A bondholders’ meeting serves as a crucial platform for bondholders to stay informed of important developments and to engage in decision-making on matters that may affect debt repayment. The newly launched Bondholders’ Meetings Handbook provides comprehensive guidance to bond issuers, bondholders’ representatives and bondholders, outlining their rights and responsibilities, before, during and after meetings. Additionally, the Handbook includes key agenda items for bondholders’ consideration such as change to debt repayment conditions.              

Accordingly, the convening of bondholders’ meetings must comply with the terms and conditions of the bond, the Securities and Exchange Act B.E. 2535, and other relevant laws.
