SEC, SET and IOD jointly host a seminar on “Preventing, Deterring and Suppressing improper behaviors of listed companies”

Bangkok, 26 March 2024 – The Securities and Exchange Commission (SEC) in collaboration with the Stock Exchange of Thailand (SET) and the Thai Institute of Directors (IOD), has organized a webinar on the topic, “Preventing, Deterring and Suppressing Improper Behaviors of Listed Companies” under the Strengthening Corporate Governance of Listed Companies Initiative to encourage the boards of directors to be aware of their important roles and duties of protecting the rights and interests of shareholders. 



The webinar held on March 26, 2024 aimed to reinforce the roles and duties of the boards of directors in accordance with good corporate governance, which include prevention, deterrence and suppression of improper behaviors of listed companies. The webinar also aimed to communicate and build the understanding of revisiting rules and oversight measures that the SEC and the SET have revised to elevate the quality and good governance of listed companies. Mrs. Pornanong Budsaratragoon, SEC Secretary-General, and Dr. Pakorn Peetathawatchai, SET President, gave opening remarks to more than 1,300 participating company directors and entities related to listed companies.

SEC Secretary-General said: “The SEC puts and places the priorities on enhancing the quality of listed companies and related parties, particularly the duties of the boards of directors, which are primarily responsible for setting policies and directions for businesses that must safeguard shareholders' interests. The SEC’s roles include enhancing regulations and supervisory measures through collaboration with the SET to elevate oversight and quality of listed companies. For example, increasing the amount of profits and equity for companies raising funds, investor warnings through various trading signals, as well as increasing stringency in the securities delisting, and reviewing rules and procedures for considering backdoor listing and  resuming trading to be as stringent as the initial public offering (IPO), etc.”

Additionally, the seminar featured lectures and panel discussions on topics that boards of directors should prioritize, including the components, structure, and responsibilities of company boards, internal control systems for governance, as well as guidelines for monitoring and tracking transactions of listed companies and newly revised regulations and measures. The expert panelists from both the public and private sectors were:
(1) Mr. Kulvech Janvatanavit, Chief Executive Officer of the Thai Institute of Directors (IOD),
(2) Mrs. Varunee Pridanonda, Chairman of the Accounting Systematisation Committee, TFAC, (3) Ms. Suvabha Charoenying, Director Member of the Audit Committee of IOD,
(4) Ms. Ussanee Somsiri, Senior Vice President-Head of Listing & Disclosure, SET, and
(5) Mr. Songyod Bunjoungmanee, Director of Corporate Finance Department – Equity 2, SEC.
