SEC proposes review of the SPV Emergency Decree to align with the current circumstances and promote securitization transactions

Bangkok, 19 May 2026 – The Securities and Exchange Commission (SEC) is seeking public comments to evaluate the effectiveness of the Emergency Decree on Special Purpose Juristic Persons for Securitization B.E. 2540 (1997) (SPV Emergency Decree) and related regulations, to review and improve the regulatory framework to ensure its appropriateness and alignment with the current circumstances, and to promote securitization transactions* as an alternative funding channel.

Under the Act on Legislative Drafting and Evaluation of Laws B.E. 2562 (2019) (LDEA), state agencies are required to conduct an evaluation of the effectiveness of laws at least every five years from the date the law comes into force, or at other intervals as prescribed in ministerial regulations, or when other specified circumstances arise. In 2026, the SPV Emergency Decree, which was enacted to support securitization transactions, has reached the statutory period for its effectiveness evaluation under the LDEA.

The SEC is therefore inviting comments on issues and obstacles relating to the SPV Emergency Decree and related regulations. The comments will be used to support the assessment of issues, the enforcement of the law, and the necessity of the law and its consistency with the current circumstances. The SEC will take such comments and recommendations into consideration in determining whether to revise the relevant laws, to promote securitization transactions as a fundraising channel without imposing undue burden on the private sector, while maintaining an appropriate level of investor protection.

The public hearing ends on 16 July 2026.

* Securitization is a form of fundraising by converting assets that generate cash flows, such as rental income from real estate, credit card receivables, or future receivables, into securities (securitized bonds) through the mechanism of transferring such assets to a special purpose vehicle (SPV) to raise funds from investors, using the cash flows of the underlying assets as the source of repayment.
