Tuesday 10 June 2025 | No. 143 / 2025

Bangkok, 10 June 2025 – The Securities and Exchange Commission (SEC) supports the legislative amendments approved by the Cabinet at its meeting on 10 June 2025, which endorsed the draft Act amending the Securities and Exchange Act (No….) B.E….. (covering securities issued electronically), as proposed by the Ministry of Finance. The proposed amendments are intended to ensure that the legal framework remains aligned with current market developments and is adaptable to future technological advancements. They also introduce mechanisms to provide legal recognition and certainty for securities issued electronically, thereby strengthening confidence in capital market activities.

Mrs. Pornanong Budsaratragoon, SEC Secretary General, stated that the SEC recognizes the opportunities and benefits of leveraging innovation and technology to advance the Thai Capital Market. Such developments can enhance convenience, strengthen security and foster confidence in capital market activities. In this regard, the SEC has continuously supported the development of the digital securities ecosystem and has driven amendments to the Securities and Exchange Act to accommodate digital securities, in line with the SEC Strategic Plan 2025-2027, which aims to position the Thai Capital Market as a key driver of the digital economy. “The SEC is preparing to develop secondary legislation to accommodate digital securities, which are securities issued and maintained in an electronic form in place of physical documents and without the issuance of securities certificates. The SEC will also coordinate with relevant agencies to establish standards for electronic transactions and promote the development of capital market infrastructure. In addition, the SEC will encourage, facilitate, and coordinate with market participants interested in developing systems that enable securities transactions to be conducted electronically throughout the entire value chain, from issuance and offering to transfer, settlement and delivery, as well as the use of digital securities as collateral and the enforcement of such collateral. These initiatives are expected to reduce operational obstacles and costs, enhance the efficiency and competitiveness of market participants, and foster innovation and competition in the Thai capital market,” added SEC Secretary-General.
