SEC instructs INGRS to cooperate with auditor and submit rectified financial statements for the year ended 31 January 2026

Friday 30 October 2026 | No. 235 / 2026

Bangkok, 30 October 2026 – The Securities and Exchange Commission (SEC) has instructed Ingress Industrial (Thailand) Public Company Limited (INGRS) to cooperate with its auditor in auditing its financial statements for the year ended 31 January 2026 and to submit the rectified financial statements audited by the auditor to the SEC. INGRS is also required to simultaneously and publicly disclose such financial statements through the Stock Exchange of Thailand’s Electronic Listed Company Information Transmission System (SETLink) by 30 November 2026.

INGRS submitted its financial statements for the year ended 31 January 2026 on 1 October 2026. The auditor expressed a disclaimer of opinion on the financial statements because the auditor was unable to obtain sufficient appropriate audit evidence regarding the carrying value of the intercompany loan balances. The auditor was also unable to perform the alternative audit procedures considered necessary to determine whether any consequential adjustments and/or additional disclosures relating to other balances and amounts in the consolidated financial statements of INGRS and its subsidiaries were required. Consequently, the auditor was unable to determine whether, and to what extent, the consolidated financial statements were complete and accurate or to assess or quantify the effects of any further adjustments and/or additional disclosures that might be necessary to the consolidated financial statements for the year ended 31 January 2026 and prior periods.

The SEC has therefore instructed INGRS to cooperate with the auditor in auditing the issues concerned, submit the rectified financial statements audited by the auditor to the SEC, together with the related disclosure report pursuant to Section 56 of the Securities and Exchange Act B.E. 2535 (1992), and simultaneously and publicly disclose such rectified financial statements and related disclosure report via SETLink by 30 November 2026.
