SEC files criminal complaint against unlicensed businesses

? At the Economic Crime Division of the Royal Thai Police (ECD Police) today, the SEC filed a criminal complaint against unlicensed derivatives and securities business operators and related persons as follows: (1) Seandar Inc. (or Seandar, Seandar Limited, Seandar Inc. Limited, Seandar (Asia) Ltd., Seandar Europe, Seandarfx) and Matthew Christensen for operating unlicensed derivatives business; and (2) S D Global, Seandar Inc. (or Seandar), Huang Young Lin, Tang Tia Julien, and Teh Cheng Huat for operating unlicensed securities business.

The compliant resulted from several reports on suspicious unlicensed activities indicating that the aforesaid operators engaged in the business of managing funds for others or holding themselves out as derivatives fund manager and private fund management to general public. Their activities involved advertisement, general solicitation and distribution through website www.sdc.us.com.

The SEC?s probe revealed that Seandar Inc. and Matthew operated derivatives business without obtaining license or registration from the SEC, in violation of the Derivatives Act B.E. 2546 (2003), Section 16 and subject to sanctions under Section 125 of  an imprisonment up to three years or a fine not exceeding 300,000 baht or both and a further fine not exceeding 10,000 baht for every day during which the violation continues.  For unlicensed securities business operated by S D Global, Seandar Inc., Huang Young Lin, Tang Tia Julien, and Teh Cheng Huat, it is a violation of the Securities and Exchange Act B.E. 2535 (1992), Section 90 and subject to sanctions under Section 289 of an imprisonment not exceeding two-five years or a fine from 200,000 to 500,000 baht, and up to 10,000 baht of a further fine for every day while the violation continues.  The SEC therefore filed a criminal complaint with the ECD Police against these firms and the related persons. In this connection, any person suffering damage from investment with the aforesaid persons should contact the ECD Police at 0-2237-1199 for further legal proceedings.

Supan Poshyananda, SEC Assistant Secretary-General said that ?The SEC urges those interesting in securities and derivatives investments to deal only with licensed business operators to avoid scams and rip-offs.
