Public hearing on proposed information disclosure for foreign firms? equity offerings in Thailand

Bangkok, July  22, 2014 ? The SEC is seeking public comment on proposed rules, conditions, and procedures for information disclosure in financial statements and operational result of foreign companies offering equities in Thailand. To begin with, the first category under the proposal covers primary listing where foreign companies offering equities and becoming listed firms only on the Stock Exchange of Thailand (SET). The second category is dual listing, secondary listing and ASEAN dual offering under ACMF Framework where foreign companies offering equities in Thailand and becoming listed firms on another overseas exchange simultaneously or in proximate period, on the condition that equity trading volume on such oversea exchange is higher than that on the SET. In addition, the overseas exchange must be qualified and recognized as prescribed by the SEC (established exchange).  The last category includes foreign equity offering not fall within the said two categories. The proposed rules aim at providing investors with information disclosure closely similar to that prepared by Thai companies while not being too burdensome for foreign firms raising fund in Thailand.
