SEC prepares listed companies for disclosure of annual registration statement via Form 56-1 One Report

Bangkok, 15 February 2021 – The Securities and Exchange Commission (SEC) is preparing listed companies for information disclosure via Form 56-1 One Report by providing the One Report Manual, educational videos and FAQ, all available at https://www.sec.or.th/onereport.

On 1 September 2020, SEC amended the regulations on the preparation of the annual registration statement (Form 56-1) and annual report (Form 56-2) by consolidating both forms into one called Form 56-1 One Report. Also, the registration statement for securities offering of both Thai and foreign companies has been revised to be in line with Form 56-1 One Report, which is required to be prepared after the issuer has become a listed company. 

SEC Secretary-General Ruenvadee Suwanmongkol said: “SEC always emphasizes the importance of information disclosure of listed companies to make sure that investors can take advantage of disclosed information in making investment decisions and to support the sustainable development of the overall capital market. This is part of the implementation of the core policies under the SEC Strategic Plan 2020-2022. The 56-1 One Report will not only lighten the burdens on listed companies regarding preparation and submission of annual performance reports, but also improve disclosure efficiency by presenting how business is operated under the Environmental, Social and Governance (ESG) principles.  For example, disclosure of policies, goals and ESG-oriented performance, greenhouse gas emission, and respect for human rights, etc.” 

Form 56-1 One Report will become effective from the financial period ending 31 December 2021. The submission must be within three months as from the end of the financial report. And will be used for filing of the registration statement as from 1 January 2022 onwards while the disclosure of greenhouse gas emission will be compulsory in the filing of the registration statement as from 1 January 2021.

SEC has produced the 56-1 One Report Manual to help listed companies get prepared for disclosure via Form 56-1 One Report by providing guidelines for disclosure of listed companies and added the One Report webpage at https://www.sec.or.th/onereport, which compiles and publishes educational videos available for viewing anytime, as well as a list of FAQs regarding One Report from listed companies, as well as news and information from seminars on the topic.
